Welcome to PathwAI! When you use our service, you agree to the following legally binding terms. Please read these Terms of Service (the "Agreement") carefully before using www.pathwai.care (the "Website") or any PathwAI products or services (the "Services").

1. Introduction

1.1 Purpose. PathwAI is a product developed by Stoic Technology Corporation ("PathwAI," "we," "our," or "us") to streamline data collection, patient onboarding, and workflow automation in healthcare and wellness environments. Commercial Users (defined below) use PathwAI to deploy HIPAA-compliant digital flows and forms. Data is securely stored and made accessible to authorized parties for efficient care delivery and operational coordination.

1.2 Scope. This Agreement applies to anyone who accesses or uses the Website or Services, including Commercial Users (such as clinics, providers, or sellers using PathwAI to create flows or collect data) and Non-Member End Users (individuals submitting information through a flow, such as patients, clients, or customers). By accessing PathwAI or using its Services, you accept this Agreement and the PathwAI Privacy Policy. If you do not accept these terms, do not use PathwAI.

2. User Obligations

2.1 Legal Compliance. You must comply with all applicable laws, including HIPAA, GDPR, CCPA, and any local regulations relevant to your use of the Services.

2.2 Data Responsibility. Commercial Users are the data controllers for the personal information they collect via PathwAI. We process that data on their behalf. Users agree to only submit or share data they are authorized to submit and to use the Services in accordance with this Agreement.

2.3 Eligibility. You must be of legal age and have the authority to enter into this Agreement. You agree to provide truthful information and not to use the Services in a manner that infringes upon any third-party rights or violates any laws.

2.4 Account Use. Commercial User accounts are restricted to a single physical location unless otherwise agreed upon in writing. Multiple locations require separate accounts. You are responsible for all activities under your account and for maintaining the confidentiality of your login credentials.

2.5 Payment Terms. Fees for premium Services are billed in accordance with selected plans. You agree to provide accurate billing information and authorize us to store and charge your payment method. Refunds may be issued at our discretion.

2.6 Free Trials. If applicable, trial data may be deleted unless you upgrade your plan prior to the trial expiration. Trials are offered "as-is" without warranties.

2.7 Indemnity. You agree to indemnify PathwAI for any claims, damages, or losses arising from your use of the Services, including any data you submit.

2.8 Termination. You or PathwAI may terminate your account at any time. Termination does not limit any rights accrued prior to termination. Upon termination, your data may be deleted as described in our Privacy Policy.

3. Our Rights

3.1 Platform Access. Subject to compliance, we grant you a limited, revocable, non-transferable license to access and use our Services. We retain all rights not expressly granted.

3.2 Changes to Services. We may modify, suspend, or discontinue features at our discretion. We may also modify this Agreement, and continued use constitutes acceptance of any updates.

3.3 Intellectual Property. All trademarks, service marks, logos, and content are the property of PathwAI or our licensors. Unauthorized use is prohibited.

3.4 Security. We implement appropriate safeguards to protect data, including encryption, access controls, and logging. Our subprocessors are vetted for compliance and security.

4. SMS and Communications: If you opt into SMS communications, you may receive transactional, reminder, or promotional messages. Message frequency may vary. You can opt out at any time by replying STOP. Data rates may apply. See our Privacy Policy for details.

5. HIPAA and Compliance: If we are a Business Associate under HIPAA, our Business Associate Addendum is incorporated into this Agreement. PathwAI is committed to maintaining compliance with all applicable privacy regulations.

6. Limitation of Liability: To the fullest extent permitted by law, PathwAI disclaims liability for indirect, incidental, or consequential damages. Our liability shall not exceed the greater of $100 or the amount paid by you in the prior 3 months. Services are provided "as-is."

7. Governing Law: This Agreement is governed by the laws of the State of Texas. Disputes shall be resolved in courts located in Harris County, Texas, unless arbitration is elected as described in our full policy.

8. Acceptable Use: You agree not to misuse the Services, including: attempting unauthorized access, interfering with service performance, submitting fraudulent data, or violating laws. We reserve the right to suspend or terminate users for violations.
