1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the website at pathwai.care and its subpages (the “Website”), operated by PathwAI Labs LLC (“PathwAI”, “we”, “us”, or “our”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Website.

We may update these Terms from time to time. Changes are effective when posted to the Website. Your continued use of the Website after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Relationship to the Platform and Subscription Agreement

These Terms apply to the public Website only. They do not govern use of the PathwAI platform, application, or services (the “Services”). Access to and use of the Services is governed by a separate written agreement between PathwAI and the relevant customer, which may include a Master Subscription Agreement, an order form, a Business Associate Agreement, and any data processing terms (together, the “Subscription Agreement”).

In the event of any conflict between these Terms and a Subscription Agreement with respect to the Services, the Subscription Agreement controls. Nothing on the Website constitutes an offer to provide the Services on particular terms, and any description of the Services on the Website is for general informational purposes and does not form part of any contract unless expressly incorporated into a Subscription Agreement.

3. Eligibility

The Website is intended for business users and is not directed to children. By using the Website, you represent that you are at least the age of majority in your jurisdiction and that you have the authority to agree to these Terms, including on behalf of any organization you represent.

4. Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable permission to access and use the Website for lawful purposes related to evaluating or engaging with PathwAI and its offerings. You agree to use the Website in accordance with these Terms and all applicable laws.

5. Prohibited Conduct

When using the Website, you agree not to:

• Misuse the Website. Interfere with, disrupt, or attempt to gain unauthorized access to the Website, its servers, or any connected systems or networks.
• Probe or scrape without authorization. Use automated means to access, scrape, or harvest content or data from the Website except as permitted by our published robots directives, or attempt to circumvent any access or rate-limiting controls.
• Introduce harmful code. Upload or transmit any malware, or use the Website to distribute harmful or unlawful material.
• Infringe rights. Use the Website in a way that infringes the intellectual property, privacy, or other rights of PathwAI or any third party.
• Misrepresent. Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Submit sensitive data. Submit protected health information or other sensitive personal information through Website contact forms. The Website is not intended for the transmission of such information.

6. Intellectual Property

The Website and its contents, including text, graphics, logos, design, and software, are owned by PathwAI or its licensors and are protected by intellectual property laws. Except for the limited permission granted in Section 4, these Terms do not grant you any right, title, or interest in the Website or its contents. The PathwAI name and logo are marks of PathwAI and may not be used without our prior written permission.

7. Submissions and Feedback

If you submit information through the Website, such as a contact request or feedback, you confirm that you have the right to provide it. If you provide feedback or suggestions about PathwAI or its offerings, you grant PathwAI a perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you. Do not submit confidential information you do not wish us to use in this manner.

8. Third-Party Links and Content

The Website may contain links to third-party websites or resources. We provide these links for convenience and do not endorse and are not responsible for the content, products, or services of any third party. Your use of third-party websites is governed by their own terms and policies.

9. Privacy

Our handling of information collected through the Website is described in our Privacy Policy and our Cookie Policy, which are incorporated into these Terms by reference.

10. Disclaimer of Warranties

The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, PathwAI disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that any information on the Website is accurate, complete, or current. This Section does not limit any warranties that cannot be excluded under applicable law, and does not apply to the Services, which are addressed in the applicable Subscription Agreement.

11. Limitation of Liability

To the fullest extent permitted by law, PathwAI and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of, or inability to use, the Website, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Website will not exceed one hundred United States dollars (USD 100). This Section does not apply to the Services, liability for which is addressed in the applicable Subscription Agreement, and does not limit liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless PathwAI and its affiliates from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising out of your misuse of the Website or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the Website at any time, without notice, for any reason, including if we believe you have violated these Terms. The provisions of these Terms that by their nature should survive termination will survive, including Sections 6, 7, 10, 11, 12, and 14.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Website that is not subject to a Subscription Agreement will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

15. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and PathwAI regarding the Website, and are separate from any Subscription Agreement governing the Services.
